1. Agreement and eligibility
These Terms of Service form a contract between you and Daily Ventures, a New Mexico limited liability company, for your use of Cala. By creating an account or using Cala, you agree to these terms and our Privacy Policy. If you do not agree, do not use Cala.
You must be at least 13 years old and legally able to enter into this agreement. If you use Cala for an organization, you represent that you have authority to bind that organization.
2. Accounts and trip invitations
You are responsible for the activity on your account and for keeping access to your email and authentication providers secure. Provide accurate information and notify us promptly if you believe your account or a trip invitation link has been compromised.
Trip organizers may create guest placeholders and invitation links. Only invite people you are authorized to contact, and do not publish private invitation links where unintended people can access them.
3. Your content
You retain ownership of trip names, photos, receipts, expense details, notes, and other content you submit. You give Daily Ventures a worldwide, non-exclusive license to host, copy, process, display, and transmit that content only as needed to operate, secure, and improve Cala.
You represent that you have the rights and permissions needed to submit content, including information about other travelers. You are responsible for the accuracy of the records you add.
4. Shared-cost calculations
Cala helps groups record costs and calculate suggested balances. Those calculations depend on information supplied by users. Review expenses, assignments, exchange rates, and settlement amounts before relying on them. Group members remain responsible for resolving mistakes and disagreements.
5. Cala is not a bank or payment processor
Cala does not receive, hold, safeguard, or transmit group funds. A payment marked as requested, sent, or settled in Cala is a record supplied by users, not confirmation from a bank. Payment links and reimbursement handles may direct you to third-party services. Your use of those services is governed by their terms, and Daily Ventures is not responsible for their availability, fees, disputes, reversals, or losses.
6. Acceptable use
You may not use Cala to:
- break the law or facilitate fraud, theft, or money laundering;
- impersonate someone or misrepresent expenses or payments;
- harass others or expose private information without permission;
- upload malware or interfere with the service;
- probe, scrape, or bypass security or access controls; or
- use Cala in a way that infringes another person's rights.
7. Service changes and availability
Cala is evolving. We may add, change, suspend, or discontinue features, and we may set reasonable usage limits. We work to keep the service available but do not promise uninterrupted or error-free operation. You should keep independent records of information that is important to your group.
8. Third-party services
Cala may rely on or link to third-party authentication, hosting, email, storage, mapping, and payment services. Those providers are responsible for their own services and may apply separate terms and privacy policies.
9. Cala's intellectual property
Daily Ventures and its licensors own Cala's software, branding, design, and other materials, excluding your content. These terms give you a limited, revocable, non-transferable right to use Cala for its intended purpose. They do not transfer ownership of Cala or its intellectual property.
10. Suspension and termination
You may stop using Cala at any time. We may restrict or terminate access when reasonably necessary to protect users or the service, respond to legal requirements, or address a material violation of these terms. Provisions that by their nature should survive will remain effective after termination.
11. Disclaimers
To the fullest extent permitted by law, Cala is provided “as is” and “as available.” Daily Ventures disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Cala does not guarantee that group records are accurate or that another person will pay an amount shown as owed. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
12. Limitation of liability
To the fullest extent permitted by law, Daily Ventures will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or group funds. Daily Ventures' total liability arising from Cala will not exceed the greater of $100 or the amount you paid Daily Ventures for Cala during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.
13. Governing law and disputes
New Mexico law governs these terms, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in New Mexico, and you and Daily Ventures consent to those courts' jurisdiction, except where applicable consumer law requires otherwise.
14. General terms
If a provision is unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; Daily Ventures may assign them as part of a reorganization, financing, merger, or sale. These terms and the Privacy Policy are the entire agreement about Cala unless another written agreement applies.
15. Changes and contact
We may update these terms as Cala changes. We will post the revised version here and update the date above. If a change is material, we may also provide notice through Cala or by email. Continued use after the effective date means you accept the updated terms.
